Project Agreements

All software development projects require a separate written agreement including:

  • Payment terms and schedule

  • Support and maintenance terms

Payment Terms

  • Terms specified in individual project agreements
  • Prices quoted in South African Rand (ZAR)
  • Payment in installments based on milestones
  • Late payments may incur interest charges
  • Deposits non-refundable once work commences
  • Refunds for completed work not provided

Intellectual Property

BlackCode Retains:

  • Website content and design
  • Development methodologies
  • Brand and trademarks
  • Pre-existing IP used in projects

Clients Receive:

  • Rights to custom code (upon full payment)
  • Rights to their own content and data
  • Specific licensing as per agreements

Limitations & Warranties

Service Warranty:

Services performed with professional skill and care according to industry standards.

Liability Limitations:

  • Total liability limited to amount paid
  • No liability for indirect/consequential damages
  • No liability for loss of profits or data

No Guarantees:

  • Specific business results
  • Completely error-free software
  • Compatibility with all systems

Website Use Guidelines

Permitted Use:

  • Learn about our services
  • Contact us for business inquiries
  • Read our blog content
  • Access our portfolio

Prohibited Use:

  • Any unlawful purpose
  • Unauthorized system access attempts
  • Interference with website functionality
  • Content reproduction without permission

Confidentiality & Support

Confidentiality:

  • Reasonable security measures implemented
  • Obligations survive relationship termination

Support & Termination:

  • Website support provided reasonably
  • Project support terms in agreements
  • Either party may terminate with notice
  • Immediate termination for violations
